Wathey vs Wathey ea. Settlement Proposal 1.

Dear Mr. Peterson,

Can't the following be proposed to the other heirs?

1. Both parties agree to evaluate the estate at an amount acceptable to both parties pending an independent appraisal report of the properties as well as an independent audit of the Final Report from PWC.

2. Both parties agree to execute a preliminary division of the estate among all 7 heirs based on the values agreed upon pending the independent appraisal and audit reports, N. C. Wathey II to receive his legitimate portion in cash as well as shares.

3. N. C. Wathey II shall refrain from delivering any requests for publications to the local media in his attempt to reach this agreement since this may be causing the hindrance for the other heirs to deliver the requested information the notary requires to complete the division of the estate within a period to be agreed upon by all parties.

4. Both parties agree that it is in the best interest to all concerned to settle this matter, once and for all to avoid publicity in the future which can have a damaging effect for the estate seeing that N. C. Wathey II himself has already suffered the most damage in this case due to the inability of the other heirs to produce the necessary information for the completion of the division.

5. Any other stipulations or amendments Mr. Peterson may deem necessary.
